A small business rarely needs sophisticated tax planning. It needs the returns filed on time, the payroll right, someone who answers the phone, and enough warning of a tax bill to put the money aside. Most of the value we add is in those four things being reliably done rather than in anything clever.
The first substantial decision most owners face is VAT registration. It becomes compulsory once turnover passes the threshold on a rolling twelve-month basis — not a tax year, which is the detail that catches people — and you have thirty days from the end of the month in which you crossed it to register. Watching turnover on a rolling basis is the difference between registering on time and receiving a backdated liability on sales where you never charged VAT.
Voluntary registration below the threshold is sometimes worth it and sometimes not. If you sell mainly to VAT-registered businesses, registering lets you recover input tax and costs your customers nothing. If you sell to the public, it puts your prices up by a fifth or takes the same amount out of your margin. It is worth deciding deliberately rather than drifting into it.
Taking on a first employee is the second big step, and it brings more obligations than most people expect: a PAYE scheme, real-time submissions on or before every payday, pension auto-enrolment with its assessment and communication duties, employer's liability insurance, and statutory pay for sickness and family leave. The Employment Allowance offsets a substantial slice of employer National Insurance for smaller employers, and it has to be claimed rather than being applied automatically.
Employment status is where small businesses most often get into trouble. Someone described as self-employed who works set hours, uses your equipment and cannot send a substitute may well be an employee in HMRC's view, and the assessment reaches backwards with penalties. It is far cheaper to get the arrangement right at the start than to defend it later.
Cash flow, not profit, is what closes small businesses. A profitable business can fail because a VAT quarter, a corporation tax payment and a quiet month land together. We build the known liabilities into a forward view so the money is set aside when it arrives rather than found when it is demanded, and where a payment genuinely cannot be met we approach HMRC for time to pay before it becomes a default.
