These Terms and Conditions ("Terms") govern the provision of accounting, tax, and advisory services by AJH Financial Accountant Limited ("AJH Accountants", "we", "us", or "our") to you ("the Client", "you", or "your").
1.1 Scope of Work: The specific services to be provided will be outlined in your individual Quotation or Letter of Engagement. Any additional work outside this scope will be quoted and agreed upon separately before work commences.
1.2 Standard of Care: We will provide our services with reasonable care, skill, and in accordance with current professional standards and applicable UK tax laws.
1.3 Timelines: We will endeavor to meet all statutory deadlines (e.g., HMRC, Companies House), provided you have met your obligations outlined in Section 2.
2.1 Provision of Information: You agree to provide us with all necessary records, documentation, and explanations required to complete our work accurately and on time.
2.2 Accuracy: You are ultimately responsible for the accuracy and completeness of the financial information provided to us. We will not audit or independently verify the data you supply unless explicitly agreed upon in writing.
2.3 Statutory Approvals: You are responsible for reviewing and approving all tax returns and financial statements before we submit them to HMRC or Companies House on your behalf.
3.1 Fee Structure: Our fees are determined based on the Quotation provided to you. We operate on a fixed-fee basis for agreed scopes of work.
3.2 Payment Terms: Invoices are payable within 14 days of the invoice date unless otherwise specified. Monthly fees are typically collected via Direct Debit on the 1st of each month.
3.3 Late Payments: We reserve the right to suspend our services and apply statutory late payment interest to any overdue invoices until the balance is cleared.
4.1 Confidentiality: We will treat all your business and personal financial information as strictly confidential. We will not disclose it to any third party without your consent, except where required by law.
4.2 GDPR: We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR). For more details, please refer to our Privacy Policy.
5.1 Professional Liability: We will not be liable for any losses, penalties, or interest surcharges arising from your failure to provide accurate information or approve documents by the required deadlines.
5.2 Liability Cap: Our total liability for any claims arising out of or in connection with our services shall be limited to the total fees paid by you in the 12 months preceding the claim.
6.1 Notice Period: Either party may terminate this agreement by providing 30 days written notice.
6.2 Outstanding Fees: Upon termination, you remain liable to pay for all work completed up to the termination date. We reserve the right to retain your documents until all outstanding fees are settled in full.
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
